Powers and Duties of the Board of Directors

According to the By-Laws of the Village of Lake Forest Homeowners’ Association, Inc., a board of not less than three nor more than five directors shall manage the affairs of the Association. All of the powers and duties of the Association existing under the Articles of Association and By-Laws shall be exercised exclusively by the Board of Directors. The executive officers of the Association shall be a President, Secretary and Treasurer. Any person may hold two or more offices except that the President shall not also be the Secretary.

President – The President shall be the chief executive officer of the Association and shall have all the powers and duties usually vested in the office of the President of an association. The President shall schedule meetings, prepare agendas, follow up on agenda items, and perform other duties as required to manage the affairs of the Association.

Secretary – The Secretary shall keep the minutes of all proceedings, serve notices to members regarding annual meetings, keep records of the Association (except those of the Treasurer), and perform all other duties incident to the office of Secretary of an association.

Treasurer – The Treasurer shall have custody of all property of the Association, keep the books in accordance with good accounting practices, and shall perform all other duties incident to the office of Treasurer.

Resolution of Problems/Concerns Any member of the Association may request that certain items and/or concerns are brought before the Board for discussion. The most efficient way to accomplish this is to forward a note to the Board at VLFHA, PO Box 82, Auburn NH 03032-0082. It will then be added to the agenda for the next regularly scheduled Board meeting.
